We are hiring a Capital Markets & Corporate Governance VP for our Global Legal team in the US!

As a Capital Markets & Corporate Governance VP, you will serve as the primary legal architect and strategic advisor for Wellhub’s corporate financing, securities compliance, and public market readiness initiatives. Reporting to the Chief Legal Officer, you will operate with a high degree of autonomy, owning the legal frameworks for complex capital transactions and shaping our global corporate governance structure. This is a critical leadership role designed for a seasoned expert who can seamlessly bridge the gap between complex U.S. securities laws and Wellhub’s hyper-growth business goals.

YOUR IMPACT

  • Architect and execute the overarching legal strategy for all capital markets transactions, including equity offerings, debt issuances, private placements, and public market/IPO readiness.
  • Hold ultimate accountability for the timely preparation, accuracy, and filing of all SEC regulatory submissions, including registration statements (e.g., Form S-1), prospectuses, and subsequent periodic reports (10-K, 10-Q, 8-K), ensuring seamless alignment with the SEC Reporting and Accounting teams.
  • Direct corporate governance frameworks at a master level, establishing boardroom policies, managing Board of Directors and Committee materials, and advising on shareholder relations and compliance protocols.
  • Act as a trusted advisor to the Chief Legal Officer and Executive Team, providing authoritative, independent legal counsel on the structural mechanics, risks, and regulatory implications of strategic financial initiatives.

We’re looking for a Sr. Compliance Associate, Sanctions Regulatory Reporting to join us fully remote in the US. This role reports directly to Kraken’s Chief Sanctions Officer and sits at the heart of how we manage, improve and scale our sanctions reporting programme globally. You won’t just be executing a filing process. You’ll be actively improving it, driving automation across the end-to-end workflow and partnering with engineering and AI teams to build something more scalable and regulator-ready.

The opportunity

  • Own the preparation, quality control and timely submission of all outbound sanctions regulatory reports, including OFAC reports, the OFAC Annual Report of Blocked Property and reporting obligations across Payward’s international jurisdictions.

  • Maintain a filing calendar and proactively escalate risks of late or incomplete submissions to sanctions leadership, applying rigorous human oversight before every regulatory submission.

  • Identify and drive automation opportunities across the sanctions reporting workflow, from alert ingestion and case creation to report generation and filing tracker updates.

  • Work with AI and engineering teams to scope and test connectors between sanctions tooling and downstream reporting systems, using AI-assisted platforms including Claude to accelerate template drafting, narrative generation and QC workflows.

  • Partner with Regional Compliance Officers across non-US jurisdictions to solicit and incorporate local regulatory feedback, ensuring regional perspectives are integrated while maintaining sanctions programme integrity.

Skills you should HODL

  • 3+ years of experience in sanctions compliance, regulatory reporting or a related financial crimes compliance function, ideally gained within financial services such as banking, crypto or fintech.

Job Description

The Regulatory Expert – Ecotoxicology acquires knowledge of recent regulatory scientific advances in the area of Ecotoxicology and is able to translate these into ways to organize and prepare registration dossiers for conventional and biological plant protection products. The Regulatory Expert – Ecotoxicology oversees and is accountable for lower and higher-tier assessments requiring involvement of more junior Regulatory Ecotoxicologists.

Tasks:

  • Primary responsibility stands with ecotoxicology dossier section writing for both active substances and formulated products dossiers

  • Performs, the assessment of client ecotoxicological data (data gap analysis and preliminary risk assessments) for the active substance and/or product dossiers under the focus of appropriate and specific regulatory requirements.

  • Supports the Section Leader the Regulatory Ecotoxicologists for preparation of comprehensive technical review of data or reports that will be incorporated into regulatory submissions to assure scientific rigor, accuracy and clarity of presentation of results.

  • Supports the Section Leader in the preparation of strategies to assist clients in dossier preparation including experimental programs according to European and national data requirements.

  • Monitors standard lower and higher-tier as well as non-standard studies.

Your Impact

As Axon’s Corporate Counsel, you will serve as a key member of Axon’s contracts and corporate team supporting the sales teams around the world. You will partner with members of external teams such as Sales, Supply Chain, Software and Hardware Engineering, Product and IT to structure and negotiate complex transactions, as well as build processes to help build for a rapidly scaling business.

What You’ll Do

Location: Scottsdale, AZ, Boston, MA or NYC

  • Provide legal advice to global business partners (primarily including a growing and dynamic Sales organization) on transactional matters related to sale of Axon’s market-leading portfolio of public safety technology products, including, for example:

    • structuring, reviewing and negotiating contracts for the disposition of Axon’s goods, services and SaaS solutions; and
    • providing and recommending options for business partners with respect to contract negotiations and corresponding risk analyses.
    • Supervise and review the Contracts Managers’ work.
    • Set and enforce the risk levels acceptable to Axon through approvals and ownership of the knowledge bank and playbooks.
  • Lead, support, execute and evolve team processes to help us build Legal contracting support for scale, including, for example:

    • drafting, updating and maintaining template contract language, risk analyses, and policies and procedures; and
    • supporting the development and implementation of our contract lifecycle management system.
  • Provide other legal advice as needed related to Axon’s operations, including, for example, regulatory compliance matters or other legal requirements, and industry standards.

  • Collaborate with other attorneys, contracts managers and administrative support to help grow, mentor and learn from others.

What You Bring

  • Minimum of 5 years of experience (in-house preferred) negotiating and managing complex commercial contracts.
  • Ability to structure, draft, and negotiate a high volume of commercial contracts, including those for the sale of SaaS, hardware, and services.
  • Experience negotiating intellectual property licensing and ownership agreements.
  • Ability to act with urgency on all requests.
  • Pass-first attitude with a desire to train and mentor others.
  • Experience supporting large and dynamic organizations.
  • Experience negotiating international agreements.
  • Passion for process and organization.

Your Impact

As ITAR Compliance Director, you will oversee Axon’s International Traffic in Arms Regulation (ITAR) program. Particular focus will be with Axon’s existing defense article programs with its Dedrone product line and future Federal R&D involving defense articles.     • R&D and Engineering on new product development
    • Marketing and Sales on ITAR licensing coordination and strategy impact

    • InfoSec on data controls and ITAR compliant adherence
  • Investigation and reporting of suspected of ITAR violations

  • Escalation into Axon Compliance leadership with regular communications to stakeholders on ITAR activities

What You Bring

  • 5+ Years ITAR experience (EAR experience a plus)
